12) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGI101 WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL DIGI101’S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SITE EXCEED $100 OR THE AMOUNT YOU PAID US (IF ANY) FOR ACCESS TO THE SITE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.

13) Indemnification

You agree to defend, indemnify, and hold harmless Digi101 and its owners, employees, contractors, and affiliates from and against any claims, liabilities, damages, judgments, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, or your infringement of any intellectual property or other rights of any person or entity.

14) Termination

We may terminate or suspend your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Sections that by their nature should survive termination (e.g., IP, disclaimers, limitation of liability, indemnity) will survive.

15) Governing Law; Venue

These Terms are governed by the laws of the State of Florida without regard to conflict-of-laws principles.

Any dispute arising under these Terms will be brought exclusively in the state or federal courts located in United States/ Florida, and you consent to personal jurisdiction there.

16) Miscellaneous

• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.

• No Waiver: Our failure to enforce a provision is not a waiver.

• Entire Agreement: These Terms constitute the entire agreement regarding your use of the Site, except where superseded by a separate written agreement with us.
